Terms of Service ============== The following terms and conditions govern all use of the CPRN Education Systems website and all content, services and products available at or through the website, including, but not limited to, oandpedu.com (the Website). The Website is owned and operated by Consultants PRN, Incorporated, CPRN Education Systems (CPRN). The Website is offered subject to your acceptance without modification of all of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, CPRN's Privacy Policy) and procedures that may be published from time to time on this Site by CPRN (collectively, the "Agreement"). Please read this Agreement carefully before accessing or using the Website. By accessing or using any part of the web site, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access the Website or use any services. If these terms and conditions are considered an offer by CPRN, acceptance is expressly limited to these terms. The Website is available only to individuals who are at least 18 years old, or provide parental consent. # __Your oandpedu.com Account and the WebSite:__ If you create an account on the Website, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. It is considered a breach of usage with any of the following: You may not share, transfer or otherwise allow any other users to access your account at any time. You must immediately notify CPRN of any unauthorized uses of your account or any other breaches of security. CPRN will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. # __Intellectual Property:__ CPRN Education Systems, oandpedu.com, the oandpedu.com logo, and all other trademarks, service marks, graphics and logos used in connection with oandpedu.com, or the Website are trademarks or registered trademarks of CPRN or CPRN's licensors. Other trademarks, service marks, graphics and logos used in connection with the Website may be the trademarks of other third parties. Your use of the Website grants you no right or license to reproduce or otherwise use any CPRN or third-party trademarks. # __Changes:__ CPRN reserves the right, at its sole discretion, to modify or replace any part of this Agreement. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. CPRN may also, in the future, offer new services and/or features through the Website (including the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement. # __Termination:__ CPRN may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your oandpedu.com account (if you have one), you may simply discontinue using the Website. Notwithstanding the foregoing, if you have a VIP Services account, such account can only be terminated by CPRN if you materially breach this Agreement and fail to cure such breach within thirty (30) days from CPRN's notice to you thereof; provided that, CPRN can terminate the Website immediately as part of a general shut down of our service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. # __Disclaimer of Warranties:__ **The Website is provided “as is”. CPRN and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither CPRN nor its suppliers and licensors, makes any warranty that the Website will be error free or that access thereto will be continuous or uninterrupted. You understand that you download from, or otherwise obtain content or services through, the Website at your own discretion and risk.** # __Limitation of Liability:__ **In no event will CPRN, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement or substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to CPRN under this agreement during the twelve (12) month period prior to the cause of action. CPRN makes NO Guarantee that participants of it's education courses can or will pass Certification tests or boards of any Certifying Organization. All participants are responsible for checking with their own State regarding Licensure laws pertaining to licensure as a practitioner. CPRN shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.** # __General Representation and Warranty:__ You represent and warrant that (i) your use of the Website will be in strict accordance with the CPRN Privacy Policy, with this Agreement and with all applicable laws and regulations (including without limitation any local laws or regulations in your country, state, city, or other governmental area, regarding online conduct and acceptable content, and including all applicable laws regarding the transmission of technical data exported from the United States (or the country in which you reside) and (ii) your use of the Website will not infringe or misappropriate the intellectual property rights of any third party. OandPEdu.com will forward all scientific classes listed on the certifying organizations websites to your Certifying body, upon your completion of courses so that they can update your Professional records. # __Indemnification:__ You agree to indemnify and hold harmless CPRN, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the Website, including but not limited to your violation of this Agreement. # __Miscellaneous:__ This Agreement constitutes the entire agreement between CPRN and you concerning the subject matter hereof, and they may only be modified by a written amendment signed by an authorized executive of CPRN, or by the posting by CPRN of a revised version. Except to the extent applicable law, if any, provides otherwise, this Agreement, any access to or use of the Website will be governed by the laws of the state of Arizona, U.S.A., excluding its conflict of law provisions, and the proper venue for any disputes arising out of or relating to any of the same will be the state and federal courts located in Yuma County, Arizona. Except for claims for injunctive or equitable relief or claims regarding intellectual property rights (which may be brought in any competent court without the posting of a bond), any dispute arising under this Agreement shall be finally settled in accordance with the Comprehensive Arbitration Rules of the Judicial Arbitration and Mediation Service, Inc. ("JAMS") by three arbitrators appointed in accordance with such Rules. The arbitration shall take place in Yuma, Arizona, in the English language and the arbitral decision may be enforced in any court. The prevailing party in any action or proceeding to enforce this Agreement shall be entitled to costs and attorneys' fees. If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties' original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any term or condition of this Agreement or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may assign your rights under this Agreement to any party that consents to and agrees to be bound by, its terms and conditions; CPRN may assign its rights under this Agreement without condition. This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns. POLICY ON ANY FITTER COURSES --------------------------- - Registration fee does not include transportation to lab venue or hotel costs during the lab portion of this course. - If you decide to cancel your registration to one of our live Fitter Courses 30 days or more prior to the first day of the course and course material has not been issued to you OandPEdu will issue a full refund, less a $50.00 non-refundable registration fee. - If you cancel your registration to one of our live Fitter Courses less than 29 days prior to the first day of the course OandPEdu will issue a credit voucher and it can be used toward any future OandPEdu course or continuing education distance learning, good for one full year. - If you have registered for one of our Fitter courses with distance learning and 2 labs, __there are no refunds allowed once the learning material has been issued to you.__ You can, however, reschedule your face-to-face lab at any of our other courses offered within 6 months of completing the distance learning portion. You are allowed only one transfer to reschedule your face-to-face lab. - __There will be no refunds or credit if you register and fail to attend any of our Fitter Courses.__ - Requests for cancellations of any Fitter Course must be received in writing on your business letterhead and sent to us via fax 888 398-0016 Monday - Friday 8-5 PST. - Requests for transfers must be made and approved at least two weeks prior to the face-to-face lab. Transfers are subject to a participation fee of $129.00 per lab day transferred. It is required to request transfers in writing via email to trainingstaff@OandPEdu.com or via fax at 888 398-0016. - CPRN makes NO Guarantee that participants of its education courses can or will pass Certification tests or boards of any Certifying Organization and/or State licensure programs. Our Fitter courses are accepted by ABC and BOC as pre-requisite courses for Certified Fitter though CPRN makes NO Guarantee as to acceptance of Certification by payor sources. All participants are responsible for checking with their own State Licensure laws as a practitioner. CPRN reserves the right to change course dates and venue as necessary. In the event that a course does not meet a required attendance level, CPRN reserves the right to reschedule or cancel the specific course. Should this occur, CPRN will notify participants affected so that they may re-arrange their travel plans. - Individuals already certified by BOC: Individuals wishing to receive credits for attending a pre-certification course will receive credits as follows: **Orthotic Fitter Course --- 37.5 Cat I and 4.0 Cat II, Mastectomy Fitter Course --- 13.8 Cat I and 3.3 Cat II**. - Individuals already certified by ABC: Individuals wishing to receive credits for attending a pre-certification course may do so by submitting the a Category II form along with their certificate of completion. Agendas will not be necessary. Individuals already certified with ABC, participating in a pre-certification course, will be awarded the following number of Category II credits: **Orthotic Fitter Pre-Certification Courses --- 30 (S) + 2 (B), Therapeutic Shoe Fitter Pre-Certification Courses --- 11 (S) + 1 (B), Mastectomy Fitter Pre-Certification Courses --- 7 (S) + 1 (B)**. UNLIMITED USAGE TERMS ----------------------- Unlimited usage clients can take any continuing education (CE) courses at any time once they have enrolled in our unlimited usage program. Unlimited usage is paid as a flat fee for a period of one year from the date of enrollment. There is no provision for cancellation of unlimited usage once purchased. Unlimited usage begins the date of enrollment and ends one year later; no credit from previous purchases can be applied as discount to purchase cost. Unlimited usage is for CE courses only and does not cover or allow user to receive “special offerings”, pre-requisite courses we offer from time to time such as Orthotic Fitter Courses, Mastectomy Fitter Courses or Shoe Fitter Courses, or third party offerings. Any class offered under the CE Course tab as shown under Orthotist, Prosthetist, Orthotic Fitter, Pedorthist, Mastectomy Fitter and DMEPOS tabs are all included in unlimited usage. Unlimited usage is not transferrable from one company to another but if a company purchases several users under this program and an employee leaves their employment, the company must notify us to disable that employee’s access. Once disabled, the company can request that we replace the discharged employee's registration with a new employee’s registration for the remainder of time of the unlimited usage. ABC BUSINESS CLASSES ------------------------ All ABC business classes taken by ABC participants need to have certificates of completion printed and faxed to ABC by the participant. Reminder: All ABC scientific classes will automatically be reported to ABC by OandPEdu.
